Unregistered Sales of Equity Securities

On May 18, 2010, GMV Wireless, Inc. (the “Registrant”) issued 30,000 shares of its common stock to Mark Simon per the terms of a Management Agreement dated February 23, 2010. The shares were valued at $0.15 per share, and were for services rendered from March to May 2010.
