Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Effective September 15, 2022, LEE Ying Chiu Herbert and SO Han Meng Julian resigned from their positions as Directors of Bonanza Goldfields Corp. (the “Company”). The departure of Messrs. LEE Ying Chiu Herbert and SO Han Meng Julian from their positions as Directors was for personal reasons and not due to any disagreement with the Company on any matter related to the Company’s operations, policies or practices.
