Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers; Compensatory Arrangement of Certain Officers.

On February 6, 2009, Mr. Stephen H. Clevett resigned from his position as a Director of Fidelity Aviation Corporation (the “Company”) to pursue other interests. Mr. Clevett’s resignation was not the result of any disagreement with the Company on any matter relating to the Company’s operations, policies or practices.
