Item 1.02 Termination of a Material Definitive Agreement
 
On July 28, 2009, the Company and Kevin P. Stolz, the Company’s Chief Financial and Accounting Officer, agreed to terminate Mr. Stolz’s Employment Agreement dated February 1, 2008.  Mr. Stolz will continue to remain employed by the Company in his current capacity.  Effective September 1, 2009, Mr. Stolz’s salary will be reduced to $42,000 per year and he will receive $1,000 per month for medical insurance in lieu of participating in the Company’s medical plan.  Subject to approval by the Company’s Board of Directors, Mr. Stolz will receive an additional stock option award to purchase 40,000 shares of the Company’s common stock at $1 per share.
