                                                On December 28, 2007, the Board of Directors amended the Company’s By-Laws in order to comply with the Fast Automated Securities Transfer Program (FAST) and the Direct Registration System (DRS) changes from January 1, 2008.

                                                On December 28, 2007, the Board of Directors amended the Company’s Code of Business Conduct and Ethics in order to comply with the Sarbanes-Oxley Act of 2002.
